These Terms of Service ("Terms") govern your access to and use of Cohorta's learning platform, websites, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
1. The Service
Cohorta provides tools to create, deliver, and manage online courses, quizzes, and training. We may add, change, or remove features over time to improve the Service.
2. Accounts and eligibility
You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account. You must be at least 16 years old, or the age of majority in your jurisdiction, to use the Service.
3. Subscriptions, billing, and renewals
Paid plans are billed in advance on a recurring basis (for example, monthly) until cancelled. By subscribing, you authorize us to charge your payment method on each renewal. Fees are non-refundable except where required by law, and you are responsible for applicable taxes. We may change pricing with reasonable notice, and changes take effect on your next billing cycle. You can cancel at any time, and your plan remains active through the end of the current period.
4. Your content
You retain ownership of the content you upload ("Your Content"). You grant Cohorta a worldwide, non-exclusive license to host, store, process, display, and deliver Your Content solely to operate and provide the Service. You are responsible for Your Content and for ensuring you have the rights necessary to upload and use it.
5. Acceptable use
You agree not to use the Service to: violate any law or third-party rights; upload content that is unlawful, infringing, or harmful; attempt to gain unauthorized access to the Service or other accounts; interfere with or disrupt the Service; or distribute spam or malware. We may suspend accounts that violate these rules.
6. Intellectual property
The Service, including its software, design, and trademarks, is owned by Cohorta and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service.
7. Third-party services
The Service may integrate with third-party tools. Your use of those tools is governed by their own terms and privacy policies, and we are not responsible for them.
8. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends, and we may delete your data in accordance with our Privacy Policy.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.
10. Limitation of liability
To the fullest extent permitted by law, Cohorta will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose.
11. Indemnification
You agree to indemnify and hold Cohorta harmless from claims, damages, and expenses arising out of Your Content or your misuse of the Service or violation of these Terms.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in California, unless applicable law requires otherwise.
